These Terms of Service (“Terms”) constitute a legally binding agreement between Cosmosys, LLC (“Company,” “we,” “us,” or “our”) and the individual, business, or legal entity purchasing, accessing, or utilizing our platforms, snapshots, intellectual property, or setup services (“Client,” “you,” or “your”).

By submitting an order form, completing payment, or accessing any sub-account, workflow, or software tool provisioned by Cosmosys, LLC, you acknowledge that you have read, understood, and agreed to be bound by all terms, conditions, and disclaimers contained herein.

1. Scope of Services & Delivery Model

Cosmosys, LLC provides specialized software configurations, proprietary GoHighLevel snapshot architecture, conversational AI integrations, automated marketing workflows, and technical deployment services (collectively, the “System” or “Services”).

Provisioning and Hand-off: Unless otherwise stated under a high-ticket, fully managed service agreement, our core offering operates as a “Technical Installation & License” model. The Company deploys the snapshot, registers phone routing parameters, and connects core intake workflows. Following technical verification, the Client is exclusively responsible for day-to-day operations, lead management, list procurement, and campaign execution.

Independent Platform: Cosmosys, LLC is an independent systems integrator and software provider. We are not an affiliate, subsidiary, or joint venture of GoHighLevel (HighLevel Inc.), Twilio, OpenAI, or any underlying technology provider.

2. Fees, Billing, and Absolute Zero-Refund Policy

2.1 Initial Setup and Implementation Fees (Strictly Non-Refundable)

All setup, implementation, architecture, and onboarding fees (including, without limitation, the $500 or $1,000 setup fees associated with our acquisitions engines and agency installations) are 100% non-refundable under all circumstances.

Immediate Services Rendered: You acknowledge and agree that setup fees do not represent a deposit or conditional trial fee. Rather, setup fees represent payment for immediate, non-recoverable digital services rendered, including manual and automated technical engineering, sub-account provisioning, proprietary snapshot deployment, prompt kit licensing, workflow mapping, and telephony infrastructure allocation executed immediately upon checkout.

Irrevocable Fulfillment: Once payment clears and digital assets are allocated or deployment has commenced, our operational labor has been fully expended and digital assets have been delivered, rendering the transaction irrevocable and non-refundable.

2.2 Recurring Platform & Software Subscriptions

All monthly or annual subscription fees (e.g., $297/month, $497/month, or $997/month) are final, fully earned upon billing, and strictly non-refundable.

We do not issue prorated refunds, retroactive credits, or partial fee returns for unused access, unlaunched campaigns, unread messages, or mid-cycle account cancellations.

2.3 Express Waiver of Chargebacks and Dispute Liquidated Damages

Chargeback Waiver: By purchasing our Services, you explicitly agree not to initiate, threaten, or maintain any credit card chargeback, merchant dispute, or payment reversal through Stripe, your bank, or payment card issuer alleging "services not rendered" or "unauthorized transaction," provided the initial system deployment was made available to you.

Chargeback Administrative Assessment: If you breach this section by initiating a fraudulent or bad-faith chargeback, you agree that Cosmosys, LLC shall be entitled to recover the full contested amount plus an administrative collection fee of $500.00, in addition to all bank dispute fees, collection agency fees, and reasonable attorney fees incurred in defending and collecting the debt.

Collections & Reporting: Delinquent accounts subject to unlawful disputes will be turned over to commercial collection agencies and reported to commercial credit bureaus.

3. Telecommunication Usage, Third-Party Carriers, and Wallet Rebilling

3.1 Direct Pass-Through Telephony & AI Usage Costs

Your monthly platform subscription covers your software license and baseline system access only.

Metered Utilities: Raw telecommunication usage—including outbound/inbound SMS segments, MMS messages, carrier carrier surcharges, local phone number rentals, Voice AI minutes, and conversational API tokens—is not included in the base subscription fee.

Automated Wallet Replenishment: All telecom and utility consumption is billed on a direct pass-through or metered basis to your dedicated sub-account wallet. You are required to maintain a valid, active payment card on file inside your sub-account dashboard configured to automatically re-bill (recharge) whenever your operating balance falls below the established threshold.

You bear exclusive financial responsibility for all carrier fees generated by your campaigns, whether initiated manually, by scheduled workflows, or through automated conversational AI responses.

3.2 Third-Party Carrier Registration & A2P 10DLC Vetting Delays

Federal regulations and mobile network operators (AT&T, T-Mobile, Verizon) require formal business brand and campaign vetting via The Campaign Registry (TCR) before commercial SMS can be delivered.

No Timeline Guarantees for Carrier Approval: While Cosmosys, LLC submits your business registration data (EIN/SSN and brand details) to the Trust Center, the speed and outcome of brand vetting and campaign approval rest entirely with third-party telecommunication carriers and regulatory clearinghouses.

Carrier approval timelines (typically taking several business days or longer) are outside the control of Cosmosys, LLC. Carrier vetting delays, initial carrier rejections due to non-compliant client web properties, or temporary carrier messaging filters do not constitute a service outage, a failure of fulfillment, or grounds for a refund of any kind.

4. Regulatory Compliance, TCPA, and Marketing Indemnification

4.1 Exclusive Client Compliance Responsibility

You assume 100% sole legal, regulatory, and financial responsibility for all communications, data handling, and marketing campaigns executed through our platform. You expressly certify that your marketing operations strictly comply with:

The Telephone Consumer Protection Act (TCPA) (47 U.S.C. § 227) and FCC regulations.

The CAN-SPAM Act and state-level electronic communication laws.

All federal and state Do Not Call (DNC) registry laws and telemarketing sales rules.

All carrier-mandated A2P 10DLC messaging standards and opt-out formatting rules.

4.2 Lead Lists, Skip-Tracing, and Cold Outreach

Cosmosys, LLC does not source, scrub, verify, or warrant the opt-in validity of any lead lists, public record extracts, or skip-traced data imported into the system.

You represent and warrant that you hold all legally required permissions, express written consents, or legal exemptions necessary to contact every phone number, email address, or individual uploaded to your sub-account.

You are solely responsible for configuring dynamic opt-out language, honoring opt-out requests (e.g., STOP, QUIT, PASS), and respecting National and State DNC registries.

4.3 Total Legal Indemnification

You agree to defend, indemnify, and hold completely harmless Cosmosys, LLC, its members, officers, employees, affiliates, contractors, and agents from and against any and all claims, lawsuits, investigations, administrative actions, penalties, statutory damages, settlements, judgments, or legal expenses (including attorney fees) arising from:

Any outbound SMS, phone call, or email transmitted through your account violating the TCPA, CAN-SPAM, or state telemarketing statutes.

Any carrier fines or pass-through penalties assessed by telecommunication carriers (including TCR pass-through non-compliance fines) caused by your messaging campaigns.

The use, acquisition, or processing of unauthorized, scraped, or unverified contact data uploaded by you or your team.

5. Artificial Intelligence and Automated Logic Disclaimer

5.1 Nature of AI and Output Imperfection

The System incorporates conversational artificial intelligence agents and mathematical underwriting workflows designed to assist in rapid lead intake and deal structuring.

You acknowledge that artificial intelligence technologies are inherently probabilistic and susceptible to operational errors, prompt misunderstandings, data hallucinations, and incorrect parsing of seller intent.

5.2 Mandatory Human Review of Underwriting and Contracts

Any figures generated by the system—including estimated repair budgets, Maximum Allowable Offer (MAO) brackets, creative financing calculations, or seller agreement terms—are preliminary technical estimations only and do not constitute formal appraisals, structural inspections, legal advice, or guaranteed offer commitments.

Duty to Verify: You maintain the strict fiduciary and operational duty to independently verify all property conditions, inspect physical assets, confirm title status, cross-check repair costs, and confirm purchase prices before executing binding contracts or disbursing earnest money.

Cosmosys, LLC shall not be held liable for any unprofitable contracts, lost assignment fees, earnest money forfeitures, deal cancellations, or disputed property agreements resulting from automated AI conversations, math discrepancies, or underwriting calculations.

6. Intellectual Property & Revocable Platform License

6.1 Ownership of System Architecture

Cosmosys, LLC retains exclusive, absolute, and worldwide ownership of all intellectual property, proprietary software logic, GoHighLevel snapshot architecture, workflow configurations, prompt kits, custom values frameworks, CSS/code modules, and landing page designs provided during your service.

6.2 Limited Revocable License

Upon purchasing platform access, you are granted a non-exclusive, non-transferable, non-sublicensable, revocable license to operate these assets inside your designated sub-account solely while your account remains active and in good standing.

Prohibited Resale & Distribution: You may not export, duplicate, reverse engineer, resell, white-label, or distribute our proprietary snapshots, system workflows, or system prompts to any third party without explicit prior written authorization from Cosmosys, LLC.

Termination of License: Upon the cancellation, suspension, or termination of your paid subscription, this license is immediately revoked. You forfeit all rights to utilize, clone, or operate our proprietary workflows, logic stacks, and automated snapshots.

7. Marketing Rights, Case Studies, and Deal Teardown Release

You grant Cosmosys, LLC a perpetual, non-exclusive, royalty-free, worldwide license to utilize anonymized operational performance metrics, conversation flow structures, pipeline screenshots, and deal milestones generated during your use of the system for marketing, case studies, software demonstrations, educational teardowns, and promotional campaigns.

We agree to redact sensitive personal identifiers (such as the specific homeowner's personal name, full phone number, or unredacted tax identification data) prior to publishing marketing case studies or workflow teardowns.

If you participate in a recorded Zoom walkthrough, interview, or technical review call, you grant us full rights to record, edit, transcribe, and publish clips of that media for promotional and educational purposes across our public web properties and social channels.

8. Cancellations, Failed Payments, and Data Retention

8.1 Cancellation Procedure

You may cancel your recurring platform subscription at any time by submitting a written cancellation request via email to [email protected] at least three (3) business days prior to your scheduled renewal billing date.

Following cancellation, your account will remain accessible until the conclusion of your current paid billing period.

At the conclusion of that billing cycle, platform access will be terminated, outgoing workflows will be paused, and phone line routing will be disabled.

8.2 Payment Failures (Dunning & Account Suspension)

If your recurring subscription or usage wallet recharge cannot be processed, our automated dunning sequence will notify you immediately.

You are granted a 48-hour grace period to update your billing credentials on file.

If payment is not successfully resolved within forty-eight (48) hours of the initial failure, your sub-account will be automatically locked, telephony lines suspended, and all outbound automation paused.

Accounts remaining past due for more than fourteen (14) days will be marked as churned, and associated phone numbers may be released back to the carrier registry without liability to Cosmosys, LLC for number re-acquisition or lost business.

8.3 Data Retention Post-Termination

Upon account cancellation or churn, Cosmosys, LLC holds customer sub-account data for up to thirty (30) calendar days as an administrative courtesy. Following this period, we reserve the right to permanently delete the sub-account, along with all associated contact records, form submissions, and configuration files, without liability to you.

9. Earnings and Results Disclaimer

Cosmosys, LLC delivers functional software tools, automated technical pipelines, and system architectures. We make no warranties, promises, or representations regarding specific financial earnings, lead conversion percentages, monthly closed deals, wholesale assignment revenue, or return on investment (ROI).

Your business success depends entirely on your local real estate market conditions, list quality, underwriting discipline, operational work ethic, sales acumen, and negotiation capability. We are not responsible for your business outcomes or financial losses.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Cosmosys, LLC, its members, officers, contractors, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages—including, without limitation, loss of business profits, lost data, telecommunication carrier fines, deal disruptions, or business interruptions—arising out of or in connection with the use or inability to use our systems or services.

The total aggregate liability of Cosmosys, LLC for any and all claims arising under this agreement, whether in contract, tort, warranty, or otherwise, shall be strictly limited to the total monetary amount actually paid by you to Cosmosys, LLC during the one (1) month immediately preceding the event giving rise to the claim.

11. Governing Law, Jurisdiction, and Severability

These Terms shall be governed by, interpreted, and enforced in accordance with the substantive laws of the State in which Cosmosys, LLC is formally registered, without regard to its conflict of law principles.

Any legal action, lawsuit, or proceeding arising under or relating to these Terms shall be instituted exclusively in the state or federal courts located within the jurisdiction of Cosmosys, LLC's principal place of business.

You hereby consent and submit to the exclusive personal jurisdiction and venue of such courts and waive any objection as to inconvenient forum.

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

12. Complete Agreement & Amendments

These Terms, together with our Master Privacy Policy and any written onboarding documentation, constitute the entire, final, and integrated agreement between you and Cosmosys, LLC concerning the subject matter hereof, superseding all prior oral or written discussions, pitches, marketing communications, or chat interactions.

Cosmosys, LLC reserves the right to amend, update, or modify these Terms at any time by posting the updated terms to our website. Continued use of the platform following the posting of updated Terms constitutes your binding acceptance of such revisions.
